Welcome to Dexafile. These Terms & Conditions ("Terms") govern your access to and use of the Dexafile website (https://dexafile.com) and all related services, tools, and features. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Services Provided

Dexafile offers a comprehensive suite of cloud-based document utilities and artificial intelligence (AI) tools. Our services currently include, but are not limited to:

• PDF conversion and editing
• Merging, splitting, and compressing PDFs
• Optical Character Recognition (OCR)
• PDF protection and security features
• General file format conversions
• AI-powered PDF summarization
• AI chat interactions with documents
• Various other AI document utilities and future tools

We reserve the right to add new tools, update existing features, or discontinue any service at our sole discretion without prior notice.

2. Eligibility

By using Dexafile, you represent and warrant that you possess the legal capacity to form a binding contract and meet the minimum age of majority in your jurisdiction. Furthermore, you agree to use the Platform in strict compliance with all applicable local, state, national, and international laws and regulations.

3. User Accounts

• Registration: Certain features may require you to register an account. You agree to provide accurate, current, and complete information during the registration process.
• Account Security: You are solely responsible for safeguarding your password and account credentials. You are liable for all activities that occur under your account.
• Account Suspension: We reserve the right to suspend or terminate your account immediately if we suspect unauthorized use, fraudulent activity, or a material breach of these Terms.

4. Acceptable Use

When utilizing our Platform, you explicitly agree NOT to:

• Upload, process, or distribute illegal, harmful, or legally restricted content.
• Upload files containing malware, viruses, or destructive code.
• Interfere with, disrupt, or compromise the integrity of our network or services.
• Abuse our APIs, attempt unauthorized access, or bypass usage limits using bots or automated scripts.
• Reverse engineer, decompile, or extract the source code of the Platform.
• Violate the intellectual property rights, copyrights, or trademarks of third parties.
• Engage in spamming, unsolicited communications, or abusive behavior.

5. Uploaded Files and Content

• Ownership: You retain all ownership rights and intellectual property rights in the files you upload. You remain entirely responsible for the legality and appropriateness of your uploaded content.
• Limited License: By uploading a file, you grant Dexafile a strictly limited, non-exclusive license solely for the purpose of processing that file according to your requested action.
• No Claim of Ownership: Dexafile does not claim any ownership over your content. We process files exclusively to provide the services you request.

6. AI Services

Dexafile integrates artificial intelligence features to enhance document interaction.

• AI outputs are generated algorithmically and may contain inaccuracies, errors, or incomplete information.
• You must independently verify any AI-generated output before relying on it for critical, legal, medical, or professional purposes.
• You bear sole responsibility for any decisions or actions taken based on AI-generated content.
• Our AI features may rely on third-party AI providers, subject to their respective terms and policies.

7. File Processing & Storage

• Temporary Storage: Uploaded and processed files are kept in temporary, isolated storage environments solely for the duration necessary for processing.
• Automatic Deletion: Files are automatically and permanently deleted from our servers within 1 hour after processing, with limited exceptions mandated by law.
• Secure Transmission: All data is transmitted securely using industry-standard encryption protocols.
• No Backup: We do not serve as a long-term storage or backup solution. You are entirely responsible for backing up your files prior to using Dexafile.

8. Privacy

Your privacy is paramount. Our data collection practices, use of cookies, analytics, and security measures are governed by our Privacy Policy. By using Dexafile, you acknowledge and consent to the data practices described therein, and recognize your user rights regarding personal data.

9. Subscription Plans & Billing

Our services are currently offered free of charge. Premium plans may be introduced in the future. Should premium subscription services be launched, detailed terms regarding plans, limits, billing, renewal, and taxes will be updated here.

10. Refund Policy

As our services are currently free, refund policies do not apply at this time. In the event premium plans are introduced in the future, refund eligibility and processing terms will be established and detailed here.

11. Intellectual Property

Dexafile and its original content, software, branding, logos, graphics, source code, and documentation are the exclusive intellectual property of Dexafile and its licensors. You are granted no right or license to our intellectual property except as explicitly stated to use the service as intended.

12. Copyright Complaints

We respect the intellectual property rights of others. If you believe your copyrighted work is being infringed upon via our Platform, please submit a formal notice detailing the infringement to our Legal Contact Email provided below.

13. API Usage

If you are granted access to our API, your usage is subject to fair usage policies and defined rate limits. You are strictly responsible for the security of your API tokens. We reserve the right to suspend or revoke API access for abusive, insecure, or excessive usage.

14. Third-Party Services

Dexafile may integrate with third-party services, including payment processors (e.g., Stripe), cloud storage providers, AI model providers, and analytics services. We do not control and are not responsible for the availability, accuracy, security, or practices of these third-party services.

15. Availability and Security

Availability

While we strive for maximum uptime, services may occasionally be unavailable due to scheduled maintenance, technical issues, or unforeseen circumstances. We may modify or discontinue features at any time.

Security

We employ reasonable administrative, technical, and organizational safeguards, including encryption during transmission, to protect your data. However, no system can be guaranteed completely secure. We do not claim to provide "end-to-end encryption" unless technically accurate and explicitly stated for specific features.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Dexafile services are provided on an "as is" and "as available" basis. We expressly disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of Liability

To the maximum extent permitted under Pakistani law, in no event shall Dexafile, its owners, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising out of your use or inability to use the service. This limitation applies regardless of the legal theory invoked, except where liability cannot legally be excluded.

18. Indemnification

You agree to defend, indemnify, and hold harmless Dexafile from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your misuse of the platform, your violation of these Terms, or your infringement of any third-party rights.

19. Suspension and Termination

We reserve the right to suspend or terminate your account and access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

20. Changes to the Terms

We may modify these Terms periodically to reflect changes in our service or legal requirements. We will publish updated versions on this page and update the "Last Updated" date. Your continued use of the platform constitutes acceptance of the modified Terms.

21. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions.

22. Jurisdiction

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Lahore, Punjab, Pakistan, unless applicable law mandates otherwise.

23. General Provisions

• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in full effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Entire Agreement: These Terms constitute the entire agreement between Dexafile and you regarding our service, superseding any prior agreements.
• Force Majeure: Dexafile shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, acts of God, war, terrorism, internet outages, or governmental actions.
